01 Acceptance of terms
These Terms of Service (“Terms”) are a binding agreement between you and X Distribution (“X Distribution,” “we,” “our,” or “us”), operated by [LEGAL_ENTITY_PLACEHOLDER]. They govern your access to and use of xdistribution.net and any related services we offer (together, the “Service”).
By accessing the Service, creating an account, submitting an inquiry, or otherwise using any feature of the Site, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
These Terms include a binding arbitration clause and class action waiver in Section 22. By using the Service, you and X Distribution agree to resolve most disputes through individual arbitration rather than in court, subject to the exceptions listed there.
02 Definitions
- “Service” means the xdistribution.net website and the deal notifications, services inquiries, and vendor intake forms we offer through it.
- “User” or “you” means any person or entity accessing or using the Service.
- “Account” means the profile you create when you sign up, including the preferences you tell us about your business.
- “Content” means any text, files, or other material that you submit to the Service (for example, free-text notes or an uploaded seller's permit).
- “Deals” means wholesale product offers and closeout opportunities that we share with Users through notification channels.
- “Third-Party Channels” means external platforms and services where X Distribution operates stores, groups, or chats (such as Amazon, Walmart, eBay, Whatnot, TikTok Shop, WhatsApp, and Telegram).
03 Eligibility
To use the Service, you must:
- Be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater.
- If you're signing up on behalf of a business, have the authority to bind that business to these Terms.
- Not be barred from receiving the Service under the laws of your jurisdiction or any jurisdiction we operate in, and not appear on any applicable sanctions list.
The Service is built for businesses. It is not directed to consumers and is not intended for personal, household, or family use.
04 Description of service
X Distribution operates a lead-generation and communication platform that helps wholesale buyers discover deal opportunities and connect with us for shipping, warehousing, fulfillment, and vendor partnerships. Through the Service, you can:
- Sign up to receive deal notifications based on preferences you provide (selling platforms, product categories, inventory types, and so on).
- Submit inquiries about shipping, warehousing, or fulfillment services.
- Submit vendor inquiries if you have inventory you'd like us to consider purchasing.
- Link out to our stores and groups on Third-Party Channels.
The Service is a lead generation and communication platform, not a marketplace. Purchases do not happen on xdistribution.net. Actual transactions take place off-platform — for example, through WhatsApp or Telegram conversations, by email, or on Third-Party Channels such as Amazon, Walmart, eBay, and Whatnot, each of which is governed by its own terms.
05 Accounts and registration
To sign up, you provide your business owner name, business name, business email, and business phone, and you may optionally provide additional profile details. You agree to:
- Provide accurate, current, and complete information.
- Keep your Account information up to date.
- Keep your login credentials (including any Google sign-in tokens) confidential and not share them.
- Notify us promptly at [CONTACT_EMAIL_PLACEHOLDER] if you suspect unauthorised use of your Account.
You are responsible for all activity that happens through your Account. We may suspend or terminate an Account at any time if we believe these Terms have been violated.
06 Accuracy of information
You represent and warrant that the business information you submit — including any seller's permit or other verification document you upload — is accurate, complete, legitimate, and belongs to you or the business you represent. We may verify this information at any time, including by asking you for supporting documentation. Submitting false, misleading, or stolen information is a breach of these Terms and may result in immediate termination.
07 Acceptable use
When you use the Service, you agree not to:
- Scrape, crawl, or use automated means (bots, spiders, or similar) to access the Service, except for search engine indexing of publicly available pages.
- Provide false, fraudulent, or misleading information, or impersonate another person or business.
- Resell, sublicense, or provide third parties with access to the Service as if it were your own.
- Interfere with or disrupt the Service, including by sending malware, launching denial-of-service attacks, or circumventing rate limits.
- Use the Service for any illegal purpose or in violation of any applicable law or regulation.
- Harass, threaten, or abuse X Distribution staff, other users, or anyone you encounter through the Service.
- Reverse engineer, decompile, or attempt to extract source code or underlying ideas from the Service, except where such restrictions are prohibited by applicable law.
- Use the Service to build a competing product, or to compile any database of wholesale buyers or suppliers.
We may investigate and take action against any suspected violation, including suspending or terminating Accounts and reporting conduct to law enforcement.
08 Communications consent
When you sign up and select notification channels, you are expressly consenting to receive communications from X Distribution through those channels. This includes deal notifications, service updates, and promotional messages. The notification channels you may select are WhatsApp, SMS, email, and Telegram.
By providing your phone number and selecting SMS as a notification channel, you give X Distribution your prior express written consent to send you marketing and transactional text messages, including messages sent by automatic telephone dialing systems. Consent is not a condition of any purchase or of accessing the Service. Message and data rates may apply. Message frequency varies based on deal availability.
How to opt out and get help
You can stop receiving messages at any time:
- SMS — stop: reply STOP, END, CANCEL, UNSUBSCRIBE, or QUIT to any message. We will stop sending you marketing text messages and may send one confirmation message acknowledging your opt-out.
- SMS — help: reply HELP to any message for assistance. You can also email [CONTACT_EMAIL_PLACEHOLDER] for support with SMS communications.
- Email: click the unsubscribe link at the bottom of any marketing email.
- WhatsApp / Telegram: leave the group or chat, or block our number.
- All channels: email [CONTACT_EMAIL_PLACEHOLDER] and ask us to remove you from all marketing communications.
We will honour opt-out requests promptly and in any case within the time required by applicable law. Consent to receive marketing communications is not a condition of purchasing any product or service from us.
09 No guarantee of deal availability or matching
We do not guarantee that you will receive any specific deals, any particular number of deals, or deals that match your stated preferences. Deal matching is best-effort and provided on an “as-is” basis. Deals are subject to availability and quantity limits, may be withdrawn without notice, and prices, quantities, and conditions shown in deal notifications are subject to change.
Nothing in a deal notification is an offer capable of acceptance. Any actual sale happens through a separate communication between you and us or between you and the operator of the Third-Party Channel where the deal is listed.
10 Third-party channels and services
The Service links to or mentions external platforms where we operate stores, groups, or chats, including (but not limited to) Amazon, Walmart, eBay, Whatnot, TikTok Shop, WhatsApp, and Telegram. These platforms are independent services owned and operated by their respective companies. They have their own terms, privacy policies, and dispute mechanisms.
X Distribution is not responsible for the availability, content, policies, practices, or actions of any Third-Party Channel. Your use of any Third-Party Channel is subject to its own terms and privacy policy, which you should read. We do not endorse, and are not responsible for, third-party content or services that you access through those channels.
11 Vendor and supplier relationships
If you submit an inventory offer or partnership inquiry through our vendor form, you are entering into a commercial inquiry relationship only — not a contract for sale, purchase, or partnership. Any actual purchase, partnership, or transaction between X Distribution and a vendor is subject to a separate written agreement executed by both parties. Submitting an inquiry does not obligate X Distribution to purchase inventory, respond within any particular timeframe, or enter into any agreement at all.
12 Services inquiries
Inquiries about our shipping, warehousing, or fulfillment services are quote requests, not service contracts. Any discussion of pricing, capacity, or timelines is an estimate only and is not binding on either party. An actual service engagement requires a separate written agreement. We reserve the right to decline any inquiry.
13 Intellectual property
Our content
All content on the Service — including the xdistribution.net code, designs, text, graphics, the XD monogram and logo, and any other branding — is owned by X Distribution or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Service without our prior written permission.
Your content
You retain ownership of the Content you submit. By submitting Content, you grant X Distribution a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, and use that Content solely for the purpose of operating and providing the Service — including routing it through AI systems for deal matching as described in Section 14. You represent that you have the right to submit the Content and that doing so does not violate any law or third-party rights.
14 AI processing disclosure
Free-text Content you submit — including the “Anything else?” field in the sign-up questionnaire — is processed by third-party AI services provided by Anthropic (the Claude API) so that we can extract structured matching preferences from what you wrote. By submitting free-text Content, you consent to this processing. Please do not paste sensitive personal information, credentials, or confidential third-party data into that field.

15 Disclaimers
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
16 Limitation of liability
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
17 Indemnification
You agree to defend, indemnify, and hold harmless X Distribution, its affiliates, and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Terms or any representation or warranty you make in them.
- Your violation of any law, regulation, or third-party right.
- Any false, misleading, or fraudulent information you submit to the Service.
- Your Content, including any claim that your Content infringes a third party's rights.
- Your use of the Service in a way not permitted by these Terms.
We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.
18 Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include (but are not limited to) breach of these Terms, providing false information, abusive conduct, and legal compulsion.
You may terminate your Account at any time by emailing [CONTACT_EMAIL_PLACEHOLDER] and asking us to delete it. We will process the request in line with our Privacy Policy.
Sections that by their nature should survive termination will survive, including Intellectual Property (Section 13), Disclaimers (Section 15), Limitation of Liability (Section 16), Indemnification (Section 17), Governing Law (Section 21), and Dispute Resolution (Section 22).
19 Modifications to the service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service or any part of it.
20 Modifications to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email, through a prominent notice on the Site, or both, before the changes take effect. The “Last updated” date at the top of this page always reflects the most recent revision.
Your continued use of the Service after the effective date of the updated Terms means you accept the changes. If you do not agree to the changes, stop using the Service and, if you have an Account, ask us to delete it.
21 Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of [JURISDICTION_PLACEHOLDER], without regard to its conflict of law principles. 22 Dispute resolution and arbitration
Informal resolution first
Before filing a claim, you agree to try to resolve the dispute informally by emailing us at [LEGAL_EMAIL_PLACEHOLDER]with a clear description of the dispute and what you're looking for. We'll try to reach a good-faith resolution within 30 days. Most disputes can be sorted out this way.
Binding arbitration
If we can't resolve the dispute informally within 30 days, you and X Distribution agree that any dispute, claim, or controversy arising out of or related to these Terms or the Service will be resolved by binding individual arbitration administered by [ARBITRATION_PROVIDER_PLACEHOLDER] under its then-current rules, and that the Federal Arbitration Act governs the interpretation and enforcement of this provision. Exceptions
Either party may bring a claim in small claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or to stop unauthorised access to the Service. Nothing in this section prevents a party from reporting conduct to a government agency or from exercising rights that by law cannot be waived.
Opt out of arbitration
You may opt out of the arbitration and class action waiver provisions of this section by emailing [LEGAL_EMAIL_PLACEHOLDER]with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Your email must include your full name, the email associated with your Account, and a clear statement that you wish to opt out. Opting out will not affect any other part of these Terms.
23 Severability
If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force and effect.
24 Entire agreement
These Terms, together with our Privacy Policy and any separate written agreement between you and X Distribution covering a specific service, constitute the entire agreement between you and X Distribution regarding the Service and supersede any prior agreements, communications, or understandings on the same subject.
25 No waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later. No waiver of any term will be effective unless it is in writing and signed by an authorised representative of X Distribution.
26 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this section is void. X Distribution may freely assign these Terms in connection with a merger, acquisition, reorganisation, sale of assets, or by operation of law.
27 Force majeure
Neither party will be liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government action, labour disputes, epidemics, or failures of networks, infrastructure, or third-party services.

These Terms are written in English. Where a translation is provided, the English version controls in the event of any conflict.
